1. Introduction

These Terms of Service (“Terms”) govern your participation as an Advisor (referred to as “Advisor” or “You”) in Memorial Tribute’s Advisor Program (“Program”) through Memorial-Tribute.com (“Company,” “We,” or “Us”). By participating in the Program, You agree to comply with these Terms. If You do not agree with these Terms, You must not participate in the Program.

2. Program Participation

As an Advisor, You are authorized to refer potential customers to Memorial Tribute for the sale of products and services. You will receive compensation based on the sales or leads generated through your referral links, as defined by Memorial Tribute. Participation in the Program is subject to the approval of Memorial Tribute and may be terminated at any time at our discretion.

3. Advisor Responsibilities

• Referral Methods: Advisors are required to use approved methods (links, banners, and promotional materials) provided by Memorial Tribute to refer potential customers.
• Compliance: You agree to comply with all applicable laws, regulations, and guidelines relating to marketing, advertising, and sales practices.
• Honesty and Transparency: You shall ensure that all claims made regarding Memorial Tribute’s products and services are truthful and accurate. Misleading or deceptive advertising is strictly prohibited.
• Confidentiality: You agree to maintain the confidentiality of any proprietary information, business practices, or customer data provided by Memorial Tribute.

4. Compensation

Advisors will receive a commission for each qualifying sale or lead generated through their unique referral link. The specifics of compensation, including rates and payout schedules, will be detailed in separate communication or within your advisor dashboard. Memorial Tribute reserves the right to modify the compensation structure at its discretion, with prior notice to Advisors.

5. Payment Terms

• Payments to Advisors will be made on a [monthly/quarterly] basis, subject to a minimum payout threshold of $[Amount].

6. Account Termination

• Termination by You: Advisors may terminate their participation in the Program at any time by notifying Memorial Tribute in writing.
• Termination by Memorial Tribute: Memorial Tribute reserves the right to suspend or terminate an Advisor’s participation in the Program at its sole discretion, for any reason, including but not limited to:
  • Violation of these Terms
  • Inactivity or failure to generate sales for a specified period
  • Fraudulent activity or misrepresentation

7. Intellectual Property

Advisors acknowledge that all content, trademarks, and materials provided by Memorial Tribute are the exclusive property of Memorial Tribute. Advisors are granted a limited, non-exclusive, non-transferable license to use the provided materials solely for the purpose of participating in the Program. Upon termination of the Program, all rights to use Memorial Tribute’s intellectual property will cease.

8. Limitation of Liability

Memorial Tribute will not be liable to Advisors for any indirect, incidental, special, or consequential damages arising from participation in the Program, including lost profits, loss of business, or damage to reputation. Advisors’ sole remedy for any claim arising out of these Terms is to terminate participation in the Program.

9. Indemnification

Advisors agree to indemnify and hold Memorial Tribute harmless from any and all claims, losses, liabilities, expenses, and damages (including legal fees) arising from:

• Your breach of these Terms
• Your actions in promoting Memorial Tribute products or services
• Violation of applicable laws or regulations

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of [State], without regard to its conflict of law principles. Any disputes arising under or related to these Terms will be subject to the exclusive jurisdiction of the courts located in [State].

11. Changes to Terms

Memorial Tribute reserves the right to modify or update these Terms at any time. Advisors will be notified of any changes, and continued participation in the Program after such modifications constitutes acceptance of the updated Terms.

12. Miscellaneous

• Entire Agreement: These Terms represent the entire agreement between Memorial Tribute and the Advisor regarding participation in the Program.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
• No Waiver: Memorial Tribute’s failure to enforce any provision of these Terms does not constitute a waiver of its right to do so in the future.

By participating in the Program, you acknowledge that you have read, understood, and agree to these Terms.
